1. Agreement to Terms

By accessing and using LasVegasSEO.co services, website, or communications, you accept and agree to be bound by these Terms of Service and our Privacy Policy. These terms constitute a legally binding agreement between you and LasVegasSEO.co.

2. Services Description and Limitations

LasVegasSEO.co provides search engine optimization, local SEO, content marketing, link building, technical SEO optimization, and related digital marketing services specifically for Las Vegas area businesses and beyond.

No Guarantees

While we implement proven strategies and best practices, we make no guarantees about:

• Specific ranking positions
• Exact timeframes for results
• Traffic increases
• Business outcomes or revenue

SEO is Ongoing

Search engine algorithms are controlled by third parties (Google, Bing, etc.) and are subject to change without notice. SEO is an ongoing process that typically requires 3-6 months to show significant results. Past performance does not guarantee future results.

Fluctuations

Rankings, traffic, and conversions can fluctuate due to factors beyond our control, including:

• Algorithm updates
• Competitor actions
• Market conditions
• Changes to your website or business
• Seasonal variations

3. Client Responsibilities and Obligations

As a client, you agree to:

• Provide accurate and complete information about your business, website, target audience, and business goals
• Provide timely access to your website, Google Analytics, Google Search Console, and other necessary platforms
• Not make substantial website changes without consulting us, as such changes may impact SEO performance
• Respond to our requests for information, approvals, and feedback within reasonable timeframes
• Ensure your website complies with all applicable laws, regulations, and third-party terms of service

Ownership and Licenses

You retain ownership of your website, content, and business information. You grant us a limited license to access and optimize these assets during our engagement for the purpose of providing SEO services.

4. Payment Terms and Refund Policy

Payment Terms

• Payment is due according to the terms specified in your service agreement, typically monthly in advance for ongoing SEO services
• Accepted payment methods include credit card, ACH transfer, or other methods agreed upon in writing
• Services may be suspended for non-payment after appropriate notice
• Late payments may incur late fees as specified in your service agreement

Refund Policy

• Unless otherwise stated in your specific service agreement, all fees are non-refundable
• 30-Day Satisfaction Guarantee: For new clients, if you're not satisfied with our services within the first 30 days, you may cancel and receive a refund of unused fees, minus any setup costs and work already completed
• After the initial 30-day period, services are billed monthly and are non-refundable, though you may cancel services with 30 days written notice

5. Term, Termination, and Transition

Service Term

Unless otherwise specified in your service agreement, SEO services are provided on a month-to-month basis following any initial commitment period.

Termination

• Either party may terminate services with 30 days written notice
• Upon termination, you will pay for all services rendered through the termination date
• We will provide you with a final report summarizing work completed and current rankings

After Termination

• Content created specifically for your website remains your property
• We retain ownership of our proprietary processes, templates, tools, and general knowledge
• We are not responsible for any decline in rankings or traffic that may occur after our engagement ends
• We will provide reasonable transition assistance to ensure continuity of your SEO efforts

6. Intellectual Property Rights

All original content, strategies, processes, tools, and methodologies developed by LasVegasSEO.co remain our intellectual property. You receive a limited, non-exclusive license to use deliverables created for your business during our engagement.

You may not resell, redistribute, or claim ownership of our proprietary methods. Website content, blog posts, and other materials created specifically for your business become your property upon payment, but we retain the right to use anonymized case studies and results for marketing purposes unless otherwise agreed in writing.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during our engagement, including:

• Business strategies and plans
• Financial information
• Customer data
• Trade secrets
• Proprietary methods and processes

This obligation continues for two years following termination of services. We will not disclose your confidential information without your consent, except as required by law or to trusted service providers who assist in delivering our services.

8. Limitation of Liability

To the maximum extent permitted by law, LasVegasSEO.co shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

• Lost profits
• Lost revenue
• Lost data
• Business interruption
• Loss of goodwill

Our total liability shall not exceed the total fees paid to us in the three months preceding the claim. Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless LasVegasSEO.co, its officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

• Your breach of these terms
• Your violation of any law or third-party rights
• Your website content and business practices
• Your use of our services

10. Governing Law and Dispute Resolution

Governing Law

These Terms of Service are governed by the laws of the State of Nevada, without regard to conflict of law principles.

Dispute Resolution

Any disputes shall be resolved through binding arbitration in Las Vegas, Nevada, in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property matters.

Class Action Waiver

You waive any right to participate in class action lawsuits or class-wide arbitration.

11. General Provisions

Entire Agreement

These terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and LasVegasSEO.co.

Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

Waiver

Our failure to enforce any right or provision does not constitute a waiver of such right or provision.

Assignment

We may assign our rights and obligations under these terms, but you may not assign yours without our written consent.
